Version: 2.0 Enterprise Governance Edition IMPORTANT LEGAL NOTICE THESE TERMS OF USE CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND MYROOMZ. BY ACCESSING, BROWSING, REGISTERING FOR, LOGGING INTO, VIEWING, INTERACTING WITH OR OTHERWISE USING THE PLATFORM, YOU ACKNOWLEDGE, REPRESENT AND WARRANT THAT: YOU HAVE READ THESE TERMS IN FULL; YOU UNDERSTAND THESE TERMS; YOU HAVE HAD THE OPPORTUNITY TO SEEK INDEPENDENT LEGAL, FINANCIAL, TAXATION OR OTHER PROFESSIONAL ADVICE; YOU HAVE THE LEGAL CAPACITY TO ENTER INTO THIS AGREEMENT; YOU ARE AT LEAST 18 YEARS OF AGE; YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS; YOU AGREE TO COMPLY WITH ALL APPLICABLE LAWS; YOU AGREE TO COMPLY WITH ALL PLATFORM POLICIES; YOU UNDERSTAND THAT FAILURE TO COMPLY MAY RESULT IN ACCOUNT SUSPENSION, TERMINATION, CONTENT REMOVAL, PAYMENT HOLDS, REPORTING TO AUTHORITIES OR OTHER ENFORCEMENT ACTIONS; AND YOU ACKNOWLEDGE THAT THE PLATFORM CONTAINS USER-GENERATED CONTENT, AUTOMATED SYSTEMS, AI INTERACTION SYSTEMS, LIVESTREAMING SYSTEMS, PAYMENT SYSTEMS AND OTHER FEATURES WHICH MAY INVOLVE OPERATIONAL, LEGAL, FINANCIAL, TECHNOLOGICAL OR CONTENT-RELATED RISKS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ACCESSING OR USING THE PLATFORM. 1. PLATFORM OPERATOR, CORPORATE STRUCTURE AND PLATFORM NATURE 1.1 Platform Operator The Platform is operated by: New Myroomzco Pty Ltd ABN: 21 698 117 476 PO BOX 136 APPLECROSS WA 6953 (“MyRoomz”, “we”, “our” or “us”) 1.2 Intellectual Property Ownership The Platform infrastructure, software architecture, workflows, operational systems, databases, moderation systems, AI systems, interfaces, source code, designs, algorithms, branding, graphics, operational logic, platform structures and associated intellectual property connected with the Platform may be owned by, licensed from, operated by, sublicensed from or otherwise associated with: COLLAB IP HOLDINGS PTY LTD ACN: 698 248 967 PO BOX 136 APPLECROSS WA 6953 Nothing in these Terms transfers ownership of any intellectual property rights to Users. 1.3 Nature of Platform MyRoomz is a creator monetisation, subscription, livestreaming, messaging, auction, digital interaction, creator-management and AI-enhanced engagement platform. MyRoomz is not: a bank; a financial institution; a stored-value facility; a gambling service; an escort agency; a prostitution service; a matchmaking service; a dating platform; a managed investment scheme; a fiduciary service provider; a talent agency; an employment agency; or a provider of financial advice, legal advice, medical advice or therapeutic services. Creators operate independently and remain solely responsible for: their Content; their taxation obligations; their interactions; their conduct; their pricing; their business activities; their legal compliance; their moderation decisions; their livestreams; their fulfilment obligations; and any off-platform conduct or interactions. Nothing in these Terms creates: employment relationships; agency relationships; partnerships; joint ventures; fiduciary duties; or representative authority between MyRoomz and any User unless expressly stated otherwise in writing. 2. APPLICATION OF THESE TERMS 2.1 Binding Agreement These Terms form a legally binding agreement between: you; MyRoomz; associated operational entities; related entities; licensors; affiliated service providers; and associated intellectual property holders. 2.2 Incorporated Policies These Terms incorporate by reference: Privacy Policy; Acceptable Use Policy; Community Guidelines; Complaints Policy; Appeals Policy; Copyright Infringement and Takedown Policy; Chargebacks & Tax Policy; AML/CTF Compliance Policies; Consent for Intimate Images Policy; Wallet Policies; AI Governance Policies; Creator Protection Policies; Auction Policies; Service Delivery Policies; Moderation Policies; and any supplemental rules, notices, operational policies or legal notices issued by MyRoomz from time to time. These policies form part of these Terms as though fully set out herein. 2.3 Right to Modify Terms MyRoomz may modify, amend, replace, supplement or update these Terms at any time. Updated Terms may: be published on the Platform; become effective immediately; require reacceptance; require renewed consent; or apply to future use of the Platform. Continued use of the Platform following publication of updated Terms constitutes acceptance of those updated Terms. 3. DEFINITIONS AND INTERPRETATION 3.1 Definitions “Account” means a registered account on the Platform. “Agent” means a person authorised by a Creator to access or manage aspects of a Creator account. “AI Interaction System” means any machine-learning system, automated interaction system, creator-trained AI system, conversational engine or automated response system available through the Platform including Indie AI. “Content” includes all uploaded, streamed, posted, generated, transmitted or distributed material including: videos; photographs; livestreams; text; audio; messages; metadata; graphics; emojis; GIFs; AI-generated material; digital assets; and any other material transmitted through the Platform. “Creator” means a User approved to monetise or distribute Content through the Platform. “Digital Entitlement” means a limited, revocable, non-transferable licence to access Content. “Fan” means a User interacting with Creators or Creator Content. “Indie AI” means the creator-controlled AI interaction system operated through the Platform. “MySafe” means the internal Wallet allocation functionality provided through the Platform. “Platform” means the MyRoomz websites, Wallet systems, livestreaming systems, interfaces, APIs, messaging systems, moderation systems, creator tools and associated infrastructure. “Wallet” means the internal balance, transaction and payment ledger system operated through the Platform. 3.2 Interpretation Unless the context otherwise requires: singular words include plural words and vice versa; headings are for convenience only; references to laws include amendments and replacements; references to persons include corporations and entities; references to “including” are not limiting. 4. ELIGIBILITY, VERIFICATION AND COMPLIANCE 4.1 Minimum Age Requirement You must be at least 18 years old to: access the Platform; create an Account; upload Content; purchase Content; interact with Users; utilise monetisation systems; or conduct transactions. 4.2 Australian Creator Requirement Creator accounts are restricted to approved Australian creator operations. Creators may be required to provide: government-issued identification; proof of age; residency information; banking information; taxation information; ABN details; GST registration details; verification information; and additional compliance documentation. 4.3 Verification Providers Verification systems may be operated through third-party providers including Veriff and Didit. MyRoomz may: deny verification; suspend verification; require re-verification; request additional information; delay approvals; restrict features; or suspend access where reasonably necessary for operational, legal, fraud-prevention, moderation or compliance purposes. 4.4 AML/CTF Compliance Users acknowledge and agree that: payment providers may conduct AML/CTF reviews; transactions may be delayed; Wallets may be frozen; transactions may be reversed; suspicious activity may be investigated; information may be disclosed to authorities; and Accounts may be suspended or terminated where reasonably necessary for compliance, fraud-prevention or legal purposes. 5. ACCOUNT STRUCTURE, SECURITY AND ACCESS RIGHTS 5.1 Account Types The Platform may support: Fan accounts; Creator accounts; Agent accounts; moderator accounts; delegated staff accounts; advertiser accounts; administrative accounts; and other operational account structures. 5.2 Delegated Access Systems Creators may authorise: managers; assistants; moderators; chatters; delegated staff; authorised representatives; and AI systems to access or operate portions of their account. Creators remain fully responsible for: delegated activity; communications; moderation decisions; AI interactions; staff conduct; and operational behaviour conducted through their account. 5.3 Security Obligations Users are solely responsible for: password security; device security; access security; account confidentiality; preventing unauthorised access; and all activity conducted through their Account. 5.4 Monitoring and Logging MyRoomz may monitor, track, analyse and log: login activity; IP addresses; approximate locations; VPN detection; delegated access activity; moderation activity; livestream activity; Wallet activity; transaction activity; AI interaction activity; message activity; security events; and fraud indicators. Users acknowledge that communications, interactions and operational activity may be logged for moderation, compliance, security, dispute resolution and operational purposes. 6. WALLET, MYSAFE, PAYMENTS AND CRYPTOCURRENCY 6.1 Wallet System The Platform operates an internal Wallet system facilitating Platform transactions and operational functionality. 6.2 Nature of Wallet and MySafe The Wallet and MySafe systems: are not bank accounts; are not financial products; are not investment products; are not insured deposits; are not stored-value facilities; do not generate interest; do not create fiduciary obligations; and are operational platform utilities only. 6.3 Cryptocurrency Deposits The Platform may permit deposits using supported cryptocurrencies including: BTC; ETH; USDT; and other approved cryptocurrencies. Cryptocurrency deposits: are processed through third-party providers including NOWPayments; are converted into AUD at the displayed market rate; may incur fees; are irreversible once confirmed; may be delayed or refused; may be subject to fraud review; and may be subject to compliance review. MyRoomz does not provide: cryptocurrency custody; crypto exchange services; NFTs; tokenised investments; blockchain verification services; or crypto investment products. 6.4 Payment Holds and Compliance Restrictions MyRoomz may: delay transactions; freeze Wallet balances; suspend withdrawals; reverse transactions; hold payouts; impose compliance reviews; investigate activity; or restrict monetisation where reasonably necessary for: fraud prevention; compliance; moderation; disputes; investigations; AML/CTF obligations; platform integrity; or legal requirements. 6.5 Chargebacks and Negative Balances Creators acknowledge and agree that: Chargebacks may be deducted from creator balances; unresolved disputes may create negative balances; future earnings may offset negative balances; payouts may be suspended during investigations; MyRoomz may recover operational losses; and MyRoomz may retain funds pending resolution of disputes. 7. SUBSCRIPTIONS, DIGITAL ENTITLEMENTS AND MONETISATION Creators may offer: subscriptions; livestream access; pay-per-view content; auctions; tips; Treat Contributions; Goal Contributions; and other monetisation systems. Users receive limited, revocable and non-transferable Digital Entitlements only. Users do not acquire: ownership rights; intellectual property rights; permanent access rights; archival rights; or transferable rights. MyRoomz does not guarantee: creator revenue; subscriber growth; discoverability; monetisation success; algorithmic visibility; or commercial outcomes. Subscriptions may automatically renew unless cancelled prior to renewal dates. All monetisation systems remain subject to: operational availability; moderation decisions; legal requirements; payment-provider rules; and Platform functionality. 8. LIVESTREAMING SERVICES Creators may livestream through the Platform. Livestreams may include: live messaging; tips; auctions; AI-assisted systems; delegated moderation; creator interaction; and monetised engagement systems. MyRoomz does not generally archive livestream video or audio following conclusion of a livestream. Limited metadata may be retained including: timestamps; moderation logs; participation records; transactional records; operational analytics; and dispute evidence. Livestreams may experience: outages; interruptions; latency; creator no-shows; provider failures; moderation interruptions; technical failures; and operational disruptions. Refunds remain at MyRoomz discretion except where required by law. 9. AI INTERACTION SYSTEMS AND INDIE AI 9.1 Nature of Indie AI Indie AI systems are creator-controlled AI interaction systems intended to: improve engagement continuity; reduce unattended messaging; improve operational efficiency; and support creator interaction systems. 9.2 AI Inputs and Training AI systems may utilise: creator-provided personality inputs; creator behavioural configuration; prior interactions; segmented conversational memory; fan-specific context; historical interactions; and engagement patterns. 9.3 AI Transparency The Platform may display indicators distinguishing between: creator-generated interactions; delegated staff interactions; and AI-generated interactions. 9.4 AI Limitations and Disclaimers Users acknowledge and agree that: AI systems may produce inaccurate responses; AI memory continuity may fail; AI systems may experience resets; AI behaviour may evolve over time; AI systems are not human relationships; emotional continuity is not guaranteed; AI systems are engagement tools only; and interactions should not be relied upon as therapy, counselling, professional advice or guarantees of personal relationships. 9.5 AI Monitoring and Logs Creators may access logs relating to: AI responses; moderation actions; delegated staff actions; and operational activity. MyRoomz administrators may access AI interaction logs for: moderation; compliance; investigations; fraud prevention; research and development; operational support; and legal compliance. 10. FAN CONDUCT, CREATOR CONDUCT AND PLATFORM RULES 10.1 Fan Conduct Fans must not: harass Users; threaten Users; blackmail Users; extort Users; distribute Content without permission; engage in scams; impersonate others; manipulate payment systems; bypass Platform protections; doxx Users; or engage in unlawful conduct. 10.2 Creator Conduct Creators must: comply with laws; obtain lawful consent; avoid coercive conduct; avoid misleading monetisation; avoid fraudulent promotions; comply with Community Standards; avoid unlawful solicitation; and comply with taxation obligations. Creators must not use the Platform to arrange unlawful physical services or unlawful in-person conduct. 10.3 Prohibited Content Users must not upload: unlawful content; exploitative content; underage content; revenge pornography; coercive material; prohibited AI impersonation content; unlawful solicitation material; or content breaching applicable laws. 11. WATERMARKING, ANTI-PIRACY AND CONTENT SECURITY MyRoomz may utilise: visible watermarks; invisible watermarking; metadata tracking; fingerprinting systems; behavioural monitoring; piracy detection systems; and anti-piracy technologies. Users are granted limited in-platform viewing rights only. Users must not: reproduce Content; download Content; redistribute Content; remove watermarks; commercially exploit Content; or bypass Platform protections. MyRoomz cannot guarantee prevention of: screenshots; screen recordings; external photography; copying; piracy; or unauthorised redistribution. Deleted Content may remain within: backup systems; moderation systems; evidence retention systems; operational archives; or soft-delete systems for operational, legal or compliance purposes. 12. MODERATION, ENFORCEMENT AND PLATFORM SAFETY 12.1 Enforcement Rights MyRoomz may, at its sole discretion and without prior notice: review Content; remove Content; restrict visibility; freeze Wallet balances; suspend monetisation; limit discoverability; throttle engagement systems; suspend Accounts; terminate Accounts; preserve evidence; investigate activity; restrict features; or cooperate with authorities where reasonably necessary for moderation, compliance, operational, fraud-prevention, legal or safety purposes. 12.2 Reporting Systems Users may report: Content; messages; livestreams; profiles; links; scams; impersonation; external conduct; or suspected policy breaches. 12.3 Child Safety and NCII MyRoomz maintains strict prohibitions relating to: child exploitation; underage content; non-consensual intimate imagery; exploitative conduct; and coercive material. MyRoomz may preserve and disclose information where reasonably necessary for: investigations; child safety; moderation; law enforcement cooperation; legal compliance; or operational safety. 13. PLATFORM DISCLAIMERS, AVAILABILITY AND OPERATIONAL RIGHTS The Platform is provided on an “as available” and “as is” basis. MyRoomz does not guarantee: uninterrupted operation; uninterrupted monetisation; algorithmic visibility; discoverability; compatibility; engagement outcomes; earnings; subscriber growth; or uninterrupted livestreaming. MyRoomz may: conduct maintenance; migrate infrastructure; suspend features; modify systems; alter interfaces; remove functionality; introduce experimental systems; or change operational structures without liability. 14. INTELLECTUAL PROPERTY All Platform systems, interfaces, workflows, databases, branding, operational systems, algorithms and associated intellectual property remain owned by or licensed to MyRoomz and/or COLLAB IP HOLDINGS. Users grant MyRoomz a perpetual, worldwide, royalty-free, transferable and sublicensable licence to: host; reproduce; moderate; process; watermark; analyse; display; distribute; and operate Content for Platform purposes. MyRoomz may: promote creators; display usernames; display previews; market Platform features; feature creator profiles; and use publicly visible creator assets for Platform promotion. 15. LIMITATION OF LIABILITY To the maximum extent permitted by law: MyRoomz excludes all implied warranties; MyRoomz is not liable for indirect or consequential loss; MyRoomz is not liable for loss of profits, revenue, data or reputation; and aggregate liability is limited to the greater of: AUD $5,000; or amounts paid by the User to MyRoomz during the preceding 6 months. Nothing excludes rights which cannot lawfully be excluded under Australian Consumer Law. 16. INDEMNITY Users indemnify MyRoomz, COLLAB IP HOLDINGS and associated personnel against all losses arising from: breach of these Terms; unlawful conduct; uploaded Content; intellectual property infringement; moderation disputes; taxation failures; payment disputes; Wallet disputes; misuse of the Platform; or regulatory breaches. This indemnity survives termination. 17. FORCE MAJEURE MyRoomz is not liable for delays, interruptions or failures arising from: cyber attacks; infrastructure failures; internet outages; payment-provider failures; cloud-provider failures; natural disasters; government actions; legal restrictions; or events beyond reasonable control. 18. TERMINATION, SURVIVAL AND GOVERNING LAW MyRoomz may suspend or terminate Accounts at its sole discretion. The following survive termination: payment obligations; moderation rights; evidence preservation rights; intellectual property rights; indemnities; dispute rights; liability limitations; and data retention provisions. These Terms are governed by the laws of Western Australia and the Commonwealth of Australia. Users submit to the jurisdiction of the courts of Western Australia. 19.
