Version: 2.0 Enterprise Governance Edition IMPORTANT LEGAL NOTICE THESE TERMS OF USE CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND MYROOMZ. BY ACCESSING, BROWSING, REGISTERING FOR, LOGGING INTO, VIEWING, INTERACTING WITH OR OTHERWISE USING THE PLATFORM, YOU ACKNOWLEDGE, REPRESENT AND WARRANT THAT: YOU HAVE READ THESE TERMS IN FULL; YOU UNDERSTAND THESE TERMS; YOU HAVE HAD THE OPPORTUNITY TO SEEK INDEPENDENT LEGAL, FINANCIAL, TAXATION OR OTHER PROFESSIONAL ADVICE; YOU HAVE THE LEGAL CAPACITY TO ENTER INTO THIS AGREEMENT; YOU ARE AT LEAST 18 YEARS OF AGE; YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS; YOU AGREE TO COMPLY WITH ALL APPLICABLE LAWS; YOU AGREE TO COMPLY WITH ALL PLATFORM POLICIES; YOU UNDERSTAND THAT FAILURE TO COMPLY MAY RESULT IN ACCOUNT SUSPENSION, TERMINATION, CONTENT REMOVAL, PAYMENT HOLDS, REPORTING TO AUTHORITIES OR OTHER ENFORCEMENT ACTIONS; AND YOU ACKNOWLEDGE THAT THE PLATFORM CONTAINS USER-GENERATED CONTENT, AUTOMATED SYSTEMS, AI INTERACTION SYSTEMS, LIVESTREAMING SYSTEMS, PAYMENT SYSTEMS AND OTHER FEATURES WHICH MAY INVOLVE OPERATIONAL, LEGAL, FINANCIAL, TECHNOLOGICAL OR CONTENT-RELATED RISKS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ACCESSING OR USING THE PLATFORM. 1. PLATFORM OPERATOR, CORPORATE STRUCTURE AND PLATFORM NATURE 1.1 Platform Operator The Platform is operated by: New Myroomzco Pty Ltd ABN: 21 698 117 476 PO BOX 136 APPLECROSS WA 6953 (“MyRoomz”, “we”, “our” or “us”) 1.2 Intellectual Property Ownership The Platform infrastructure, software architecture, workflows, operational systems, databases, moderation systems, AI systems, interfaces, source code, designs, algorithms, branding, graphics, operational logic, platform structures and associated intellectual property connected with the Platform may be owned by, licensed from, operated by, sublicensed from or otherwise associated with: COLLAB IP HOLDINGS PTY LTD ACN: 698 248 967 PO BOX 136 APPLECROSS WA 6953 Nothing in these Terms transfers ownership of any intellectual property rights to Users. 1.3 Nature of Platform MyRoomz is a creator monetisation, subscription, livestreaming, messaging, auction, digital interaction, creator-management and AI-enhanced engagement platform. MyRoomz is not: a bank; a financial institution; a stored-value facility; a gambling service; an escort agency; a prostitution service; a matchmaking service; a dating platform; a managed investment scheme; a fiduciary service provider; a talent agency; an employment agency; or a provider of financial advice, legal advice, medical advice or therapeutic services. Creators operate independently and remain solely responsible for: their Content; their taxation obligations; their interactions; their conduct; their pricing; their business activities; their legal compliance; their moderation decisions; their livestreams; their fulfilment obligations; and any off-platform conduct or interactions. Nothing in these Terms creates: employment relationships; agency relationships; partnerships; joint ventures; fiduciary duties; or representative authority between MyRoomz and any User unless expressly stated otherwise in writing. 2. APPLICATION OF THESE TERMS 2.1 Binding Agreement These Terms form a legally binding agreement between: you; MyRoomz; associated operational entities; related entities; licensors; affiliated service providers; and associated intellectual property holders. 2.2 Incorporated Policies These Terms incorporate by reference: Privacy Policy; Acceptable Use Policy; Community Guidelines; Complaints Policy; Appeals Policy; Copyright Infringement and Takedown Policy; Chargebacks & Tax Policy; AML/CTF Compliance Policies; Consent for Intimate Images Policy; Wallet Policies; AI Governance Policies; Creator Protection Policies; Auction Policies; Service Delivery Policies; Moderation Policies; and any supplemental rules, notices, operational policies or legal notices issued by MyRoomz from time to time. These policies form part of these Terms as though fully set out herein. 2.3 Right to Modify Terms MyRoomz may modify, amend, replace, supplement or update these Terms at any time. Updated Terms may: be published on the Platform; become effective immediately; require reacceptance; require renewed consent; or apply to future use of the Platform. Continued use of the Platform following publication of updated Terms constitutes acceptance of those updated Terms. 3. DEFINITIONS AND INTERPRETATION 3.1 Definitions “Account” means a registered account on the Platform. “Agent” means a person authorised by a Creator to access or manage aspects of a Creator account. “AI Interaction System” means any machine-learning system, automated interaction system, creator-trained AI system, conversational engine or automated response system available through the Platform including Indie AI. “Content” includes all uploaded, streamed, posted, generated, transmitted or distributed material including: videos; photographs; livestreams; text; audio; messages; metadata; graphics; emojis; GIFs; AI-generated material; digital assets; and any other material transmitted through the Platform. “Creator” means a User approved to monetise or distribute Content through the Platform. “Digital Entitlement” means a limited, revocable, non-transferable licence to access Content. “Fan” means a User interacting with Creators or Creator Content. “Indie AI” means the creator-controlled AI interaction system operated through the Platform. “MySafe” means the internal Wallet allocation functionality provided through the Platform. “Platform” means the MyRoomz websites, Wallet systems, livestreaming systems, interfaces, APIs, messaging systems, moderation systems, creator tools and associated infrastructure. “Wallet” means the internal balance, transaction and payment ledger system operated through the Platform. 3.2 Interpretation Unless the context otherwise requires: singular words include plural words and vice versa; headings are for convenience only; references to laws include amendments and replacements; references to persons include corporations and entities; references to “including” are not limiting. 4. ELIGIBILITY, VERIFICATION AND COMPLIANCE 4.1 Minimum Age Requirement You must be at least 18 years old to: access the Platform; create an Account; upload Content; purchase Content; interact with Users; utilise monetisation systems; or conduct transactions. 4.2 Australian Creator Requirement Creator accounts are restricted to approved Australian creator operations. Creators may be required to provide: government-issued identification; proof of age; residency information; banking information; taxation information; ABN details; GST registration details; verification information; and additional compliance documentation. 4.3 Verification Providers Verification systems may be operated through third-party providers including Veriff and Didit. MyRoomz may: deny verification; suspend verification; require re-verification; request additional information; delay approvals; restrict features; or suspend access where reasonably necessary for operational, legal, fraud-prevention, moderation or compliance purposes. 4.4 AML/CTF Compliance Users acknowledge and agree that: payment providers may conduct AML/CTF reviews; transactions may be delayed; Wallets may be frozen; transactions may be reversed; suspicious activity may be investigated; information may be disclosed to authorities; and Accounts may be suspended or terminated where reasonably necessary for compliance, fraud-prevention or legal purposes. 5. ACCOUNT STRUCTURE, SECURITY AND ACCESS RIGHTS 5.1 Account Types The Platform may support: Fan accounts; Creator accounts; Agent accounts; moderator accounts; delegated staff accounts; advertiser accounts; administrative accounts; and other operational account structures. 5.2 Delegated Access Systems Creators may authorise: managers; assistants; moderators; chatters; delegated staff; authorised representatives; and AI systems to access or operate portions of their account. Creators remain fully responsible for: delegated activity; communications; moderation decisions; AI interactions; staff conduct; and operational behaviour conducted through their account. 5.3 Security Obligations Users are solely responsible for: password security; device security; access security; account confidentiality; preventing unauthorised access; and all activity conducted through their Account. 5.4 Monitoring and Logging MyRoomz may monitor, track, analyse and log: login activity; IP addresses; approximate locations; VPN detection; delegated access activity; moderation activity; livestream activity; Wallet activity; transaction activity; AI interaction activity; message activity; security events; and fraud indicators. Users acknowledge that communications, interactions and operational activity may be logged for moderation, compliance, security, dispute resolution and operational purposes. 6. WALLET, MYSAFE, PAYMENTS AND CRYPTOCURRENCY 6.1 Wallet System The Platform operates an internal Wallet system facilitating Platform transactions and operational functionality. 6.2 Nature of Wallet and MySafe The Wallet and MySafe systems: are not bank accounts; are not financial products; are not investment products; are not insured deposits; are not stored-value facilities; do not generate interest; do not create fiduciary obligations; and are operational platform utilities only. 6.3 Cryptocurrency Deposits The Platform may permit deposits using supported cryptocurrencies including: BTC; ETH; USDT; and other approved cryptocurrencies. Cryptocurrency deposits: are processed through third-party providers including NOWPayments; are converted into AUD at the displayed market rate; may incur fees; are irreversible once confirmed; may be delayed or refused; may be subject to fraud review; and may be subject to compliance review. MyRoomz does not provide: cryptocurrency custody; crypto exchange services; NFTs; tokenised investments; blockchain verification services; or crypto investment products. 6.4 Payment Holds and Compliance Restrictions MyRoomz may: delay transactions; freeze Wallet balances; suspend withdrawals; reverse transactions; hold payouts; impose compliance reviews; investigate activity; or restrict monetisation where reasonably necessary for: fraud prevention; compliance; moderation; disputes; investigations; AML/CTF obligations; platform integrity; or legal requirements. 6.5 Chargebacks and Negative Balances Creators acknowledge and agree that: Chargebacks may be deducted from creator balances; unresolved disputes may create negative balances; future earnings may offset negative balances; payouts may be suspended during investigations; MyRoomz may recover operational losses; and MyRoomz may retain funds pending resolution of disputes. 7. SUBSCRIPTIONS, DIGITAL ENTITLEMENTS AND MONETISATION Creators may offer: subscriptions; livestream access; pay-per-view content; auctions; tips; Treat Contributions; Goal Contributions; and other monetisation systems. Users receive limited, revocable and non-transferable Digital Entitlements only. Users do not acquire: ownership rights; intellectual property rights; permanent access rights; archival rights; or transferable rights. MyRoomz does not guarantee: creator revenue; subscriber growth; discoverability; monetisation success; algorithmic visibility; or commercial outcomes. Subscriptions may automatically renew unless cancelled prior to renewal dates. All monetisation systems remain subject to: operational availability; moderation decisions; legal requirements; payment-provider rules; and Platform functionality. 8. LIVESTREAMING SERVICES Creators may livestream through the Platform. Livestreams may include: live messaging; tips; auctions; AI-assisted systems; delegated moderation; creator interaction; and monetised engagement systems. MyRoomz does not generally archive livestream video or audio following conclusion of a livestream. Limited metadata may be retained including: timestamps; moderation logs; participation records; transactional records; operational analytics; and dispute evidence. Livestreams may experience: outages; interruptions; latency; creator no-shows; provider failures; moderation interruptions; technical failures; and operational disruptions. Refunds remain at MyRoomz discretion except where required by law. 9. AI INTERACTION SYSTEMS AND INDIE AI 9.1 Nature of Indie AI Indie AI systems are creator-controlled AI interaction systems intended to: improve engagement continuity; reduce unattended messaging; improve operational efficiency; and support creator interaction systems. 9.2 AI Inputs and Training AI systems may utilise: creator-provided personality inputs; creator behavioural configuration; prior interactions; segmented conversational memory; fan-specific context; historical interactions; and engagement patterns. 9.3 AI Transparency The Platform may display indicators distinguishing between: creator-generated interactions; delegated staff interactions; and AI-generated interactions. 9.4 AI Limitations and Disclaimers Users acknowledge and agree that: AI systems may produce inaccurate responses; AI memory continuity may fail; AI systems may experience resets; AI behaviour may evolve over time; AI systems are not human relationships; emotional continuity is not guaranteed; AI systems are engagement tools only; and interactions should not be relied upon as therapy, counselling, professional advice or guarantees of personal relationships. 9.5 AI Monitoring and Logs Creators may access logs relating to: AI responses; moderation actions; delegated staff actions; and operational activity. MyRoomz administrators may access AI interaction logs for: moderation; compliance; investigations; fraud prevention; research and development; operational support; and legal compliance. 10. FAN CONDUCT, CREATOR CONDUCT AND PLATFORM RULES 10.1 Fan Conduct Fans must not: harass Users; threaten Users; blackmail Users; extort Users; distribute Content without permission; engage in scams; impersonate others; manipulate payment systems; bypass Platform protections; doxx Users; or engage in unlawful conduct. 10.2 Creator Conduct Creators must: comply with laws; obtain lawful consent; avoid coercive conduct; avoid misleading monetisation; avoid fraudulent promotions; comply with Community Standards; avoid unlawful solicitation; and comply with taxation obligations. Creators must not use the Platform to arrange unlawful physical services or unlawful in-person conduct. 10.3 Prohibited Content Users must not upload: unlawful content; exploitative content; underage content; revenge pornography; coercive material; prohibited AI impersonation content; unlawful solicitation material; or content breaching applicable laws. 11. WATERMARKING, ANTI-PIRACY AND CONTENT SECURITY MyRoomz may utilise: visible watermarks; invisible watermarking; metadata tracking; fingerprinting systems; behavioural monitoring; piracy detection systems; and anti-piracy technologies. Users are granted limited in-platform viewing rights only. Users must not: reproduce Content; download Content; redistribute Content; remove watermarks; commercially exploit Content; or bypass Platform protections. MyRoomz cannot guarantee prevention of: screenshots; screen recordings; external photography; copying; piracy; or unauthorised redistribution. Deleted Content may remain within: backup systems; moderation systems; evidence retention systems; operational archives; or soft-delete systems for operational, legal or compliance purposes. 12. MODERATION, ENFORCEMENT AND PLATFORM SAFETY 12.1 Enforcement Rights MyRoomz may, at its sole discretion and without prior notice: review Content; remove Content; restrict visibility; freeze Wallet balances; suspend monetisation; limit discoverability; throttle engagement systems; suspend Accounts; terminate Accounts; preserve evidence; investigate activity; restrict features; or cooperate with authorities where reasonably necessary for moderation, compliance, operational, fraud-prevention, legal or safety purposes. 12.2 Reporting Systems Users may report: Content; messages; livestreams; profiles; links; scams; impersonation; external conduct; or suspected policy breaches. 12.3 Child Safety and NCII MyRoomz maintains strict prohibitions relating to: child exploitation; underage content; non-consensual intimate imagery; exploitative conduct; and coercive material. MyRoomz may preserve and disclose information where reasonably necessary for: investigations; child safety; moderation; law enforcement cooperation; legal compliance; or operational safety. 13. PLATFORM DISCLAIMERS, AVAILABILITY AND OPERATIONAL RIGHTS The Platform is provided on an “as available” and “as is” basis. MyRoomz does not guarantee: uninterrupted operation; uninterrupted monetisation; algorithmic visibility; discoverability; compatibility; engagement outcomes; earnings; subscriber growth; or uninterrupted livestreaming. MyRoomz may: conduct maintenance; migrate infrastructure; suspend features; modify systems; alter interfaces; remove functionality; introduce experimental systems; or change operational structures without liability. 14. INTELLECTUAL PROPERTY All Platform systems, interfaces, workflows, databases, branding, operational systems, algorithms and associated intellectual property remain owned by or licensed to MyRoomz and/or COLLAB IP HOLDINGS. Users grant MyRoomz a perpetual, worldwide, royalty-free, transferable and sublicensable licence to: host; reproduce; moderate; process; watermark; analyse; display; distribute; and operate Content for Platform purposes. MyRoomz may: promote creators; display usernames; display previews; market Platform features; feature creator profiles; and use publicly visible creator assets for Platform promotion. 15. LIMITATION OF LIABILITY To the maximum extent permitted by law: MyRoomz excludes all implied warranties; MyRoomz is not liable for indirect or consequential loss; MyRoomz is not liable for loss of profits, revenue, data or reputation; and aggregate liability is limited to the greater of: AUD $5,000; or amounts paid by the User to MyRoomz during the preceding 6 months. Nothing excludes rights which cannot lawfully be excluded under Australian Consumer Law. 16. INDEMNITY Users indemnify MyRoomz, COLLAB IP HOLDINGS and associated personnel against all losses arising from: breach of these Terms; unlawful conduct; uploaded Content; intellectual property infringement; moderation disputes; taxation failures; payment disputes; Wallet disputes; misuse of the Platform; or regulatory breaches. This indemnity survives termination. 17. FORCE MAJEURE MyRoomz is not liable for delays, interruptions or failures arising from: cyber attacks; infrastructure failures; internet outages; payment-provider failures; cloud-provider failures; natural disasters; government actions; legal restrictions; or events beyond reasonable control. 18. TERMINATION, SURVIVAL AND GOVERNING LAW MyRoomz may suspend or terminate Accounts at its sole discretion. The following survive termination: payment obligations; moderation rights; evidence preservation rights; intellectual property rights; indemnities; dispute rights; liability limitations; and data retention provisions. These Terms are governed by the laws of Western Australia and the Commonwealth of Australia. Users submit to the jurisdiction of the courts of Western Australia.
Creators on the Platform may use Indie, the Platform's built in AI companion, to compose and send replies to direct messages on their behalf. Indie operates only for Creators who have enabled it, is configured by the Creator, and writes in the Creator's chosen voice and style.
Any direct message composed with Indie's assistance is identified within the Platform by a small star marker displayed beside the message timestamp. This marker is the means by which AI assisted messages can be distinguished from messages typed personally by the Creator. By using the Platform you acknowledge and accept that some direct messages from Creators may be generated with AI assistance and that such messages are identified in the manner described above.
Creators remain responsible for all messages sent from their account, whether typed personally or composed with Indie's assistance. AI assisted messaging does not alter the operation of any other provision of these Terms, including those relating to payments, refunds and acceptable use.
MyRoomz is operated by New Myroomzco Pty Ltd (ABN 21 698 117 476), which is registered for GST in Australia.
21.1 All prices are GST inclusive
Every amount displayed on the Platform is in Australian dollars and is inclusive of GST where GST applies. The price shown is the price payable. GST is never added at checkout and is never charged on top of a displayed amount.
21.2 Fees charged by MyRoomz
All fees charged by MyRoomz are inclusive of GST at the prevailing rate. These include:
the Platform Fee deducted from Creator earnings; deposit surcharges applied when funding a Wallet by card or cryptocurrency; the MyRoomz share of advertising revenue and of any Agency commission; storage subscriptions, AI reply allowances and any other subscription product supplied by MyRoomz.
Where MyRoomz charges a fee of A$11.00 inclusive of GST, that amount contains A$1.00 of GST. The fee itself does not change.
21.3 Creator and Advertiser tax obligations are unchanged
A Creator supplies their own Content to Fans. MyRoomz does not determine, collect or remit GST on a Creator's own supplies, and nothing in this clause is a representation that any particular Creator is registered for GST. Amounts paid to a Creator are inclusive of any GST that Creator is liable for. Creators, Advertisers and Agencies remain solely responsible for their own registration, reporting and remittance as set out elsewhere in these documents.
21.4 Tax invoices
A Creator, Advertiser or Agency registered for GST may request a tax invoice for fees charged by MyRoomz by contacting support. MyRoomz will issue a valid tax invoice showing the registered entity, its ABN and the GST component of those fees.
21.5 If the rate changes
If the GST rate changes, displayed prices remain GST inclusive and the GST component within them changes accordingly. MyRoomz will give notice before any resulting change to a displayed price takes effect.
22.1 Feedback is voluntary and unpaid
Any feedback, suggestion, idea, feature request, bug report or other comment you give MyRoomz about the Platform, by any means (including through Indie, messages, email, support or in person), is given voluntarily and without any expectation of payment, credit, compensation or other benefit. This applies to every User, whether a Fan, a Creator, an Agent, an Advertiser or any other account holder.
22.2 Licence to use feedback
You grant MyRoomz and COLLAB IP HOLDINGS PTY LTD a perpetual, irrevocable, worldwide, royalty-free, transferable and sublicensable licence to use, copy, modify, implement and commercialise any feedback, without restriction, attribution or payment. To the extent permitted by law, you consent to any act or omission that might otherwise infringe moral rights in that feedback.
22.3 No rights, relationship or obligation
Giving feedback does not create any ownership, intellectual property right, licence, partnership, employment, consulting or other relationship between you and MyRoomz, and MyRoomz has no obligation to act on, implement, respond to or keep confidential any feedback.
22.4 Your Content is unaffected
This clause does not affect your rights in your own Content, which are dealt with in clause 14.
23.1 What Servicez is
Servicez is a directory on the Platform where a business that offers services to Creators (for example photography, videography, makeup, hair, styling, editing or studio hire) may publish a business page with its rates, examples of its work and a way to send it an enquiry. A business page may only be published from an account whose holder has completed identity verification.
23.2 MyRoomz is not party to any job
Any service, price, booking, payment or other arrangement made between a Creator and a business found through Servicez is solely between them. MyRoomz does not supply those services, is not a party to any agreement between them, does not receive or hold payment for them, and is not responsible for the quality, safety, timeliness or outcome of any service or for any dispute about it.
23.3 No vetting
MyRoomz reviews a business page before it is first published but does not verify a business's skills, qualifications, licences, insurance, registrations or claims. Each business is responsible for holding whatever licences, insurance and permissions its trade requires, for the accuracy of its page, and for having the right to show every image and video in its gallery, including the consent of any person shown.
23.4 Ratings
Ratings and reviews are the opinions of the Creators who leave them and not statements of MyRoomz. Only a verified Creator who has exchanged messages with a business may rate it. A business may reply to a rating but may not remove it. MyRoomz may hide a rating that breaches these Terms, and keeps a record of it.
23.5 Subscription
A business page is offered for a monthly subscription at the price shown on the Platform, which includes GST. It is charged from the business's Wallet when the page is approved and every 30 days after that, unless a free period applies. If the Wallet does not cover a month when it falls due, the page is hidden from Servicez until the Wallet does, and is then charged and restored automatically. A subscription may be cancelled at any time and the page remains published until the end of the period already paid for. Amounts paid for a period are not refunded part way through it, except where required by law.
23.6 Suspension
MyRoomz may suspend or remove a business page that breaches these Terms or that it reasonably considers harmful to Users, and no further subscription is charged while a page is suspended.
23.7 Top banner
A business with a published Servicez page may buy a banner shown at the top of the Servicez directory for a monthly fee at the price shown on the Platform, which includes GST. MyRoomz reviews every banner before it is shown, and reviews it again whenever it is changed. MyRoomz may decline or remove a banner that breaches these Terms or that it reasonably considers unsuitable, and while a change is being reviewed the banner already approved continues to be shown.
The fee is charged from the business's Wallet when the banner is first approved and every 30 days after that. Nothing is charged for a banner that is declined. If the Wallet does not cover a month when it falls due, the banner stops being shown until the Wallet does, and is then charged and restored automatically. A banner may be cancelled at any time and continues to be shown until the end of the period already paid for. Amounts paid for a period are not refunded part way through it, except where required by law.
A banner can only be shown while the business's page is published. If the page is cancelled and its paid period ends, or the page is suspended or removed, the banner ends at the same time, no further fee is charged, and no refund is given for the rest of a banner period except where required by law.
The banner is shown in turn with other banners and with MyRoomz's own notices in the same space. MyRoomz does not guarantee how often, to whom or for how long it is shown, or any number of views, clicks, enquiries or bookings.
The business is responsible for the content of its banner, including any headline. It must be accurate, comply with these Terms, and use only images the business has the right to use, with the consent of any person shown. Clause 23.2 applies to any work that results from a banner in the same way as to work arranged through a business page.
24.1 What a collab arrangement is
A Creator who tags one or more other Creators in Content may choose, for that Content, how it is shared: consent only (the tagged Creators agree to appear and only the uploading Creator sells it), shared content sold separately (named Creators may publish the Content on their own pages and each keeps what their own page sells), shared content with the earnings split (every sale of the Content from any participating page is divided by agreed percentages), or shared content where the page that makes a sale keeps an agreed share and the rest goes to the other participating Creators. The arrangement is between the participating Creators. A person tagged by email address alone is consent only.
24.2 Three separate agreements
Consent to appear in Content, permission to reuse and sell that Content, and an arrangement for sharing the earnings from it are three separate agreements. Each is recorded on the Platform when the Creator concerned accepts it, together with the terms as shown to that Creator at the time. Accepting one of them does not imply any other. An earnings arrangement takes effect only once every participating Creator has accepted the same terms.
24.3 How earnings are allocated
On each sale of Content under an earnings arrangement, MyRoomz applies its platform fee once, to the sale, and allocates the remainder between the participating Creators as they accepted. Each Creator's allocation is held and released on the same terms as the sale itself, and may be withdrawn as Creator earnings under these Terms and the Platform's payout checks. The percentages that apply to a sale are those in force at the moment of that sale. A later change to the arrangement requires the acceptance of every affected Creator, applies only to sales made after it, and never reopens, adjusts or reverses a completed sale. Subscriptions, tips and anything that is not a sale of the shared Content are not shared.
24.4 Removing consent
A participating Creator may remove their consent to appear at any time from the Platform. Every published version of the Content carrying that arrangement, on every participating page, is then paused: it is withdrawn from view and cannot be purchased, and nothing is deleted. The Content remains paused until the same Creator approves it again on the Platform, at which point the paused versions are restored. Completed sales stand and are not refunded because consent was later removed. The uploading Creator may end the sharing, which pauses every version in the same way.
24.5 Refunds and chargebacks
A refund, reversal or chargeback on a sale that was allocated between Creators follows the allocation: each participating Creator's share of that sale is reversed from that Creator, under the Platform's existing refund, chargeback and hold policies. Where a Creator's Wallet cannot cover their share of a reversal, the shortfall is recorded against that Creator.
24.6 MyRoomz is not party to the arrangement
MyRoomz records and gives effect to the arrangement the participating Creators accepted. It is not a party to that arrangement, does not negotiate or set its terms, does not advise on them, and does not mediate or decide disputes between Creators about it. Each participating Creator is responsible for the accuracy of what they agree to and for holding every right and consent needed to publish and sell the Content on their own page.
24.7 Tagging
Every published version of shared Content, on every participating page, remains tagged with the participating Creators, and those tags may not be removed while the Content is published. The consent, moderation and takedown provisions of these Terms apply to every version of shared Content on every page.
25.1 What MyShopz is
MyShopz is a marketplace on the Platform where a business (a "Merchant") that has completed identity verification may list physical goods for sale to Users. A Merchant's listing is subject to review before it is first published and to the prohibited products policy shown on the Platform.
25.2 The Merchant is the seller
Every product on MyShopz is sold by the Merchant that lists it, not by MyRoomz. The Merchant is responsible for the accuracy of its listing, for holding whatever licences, registrations and permissions its goods require, for the lawfulness of its goods in every place it ships them to, for packing and shipping each order, for the condition of the goods, and for its own returns policy and consumer guarantees. MyRoomz does not hold stock, does not ship, and is not a party to the contract of sale.
25.3 Buying on the Platform
A product bought on the Platform is paid for from the buyer's Wallet. The amount is held in the buyer's Wallet from the moment the order is placed and is paid to the Merchant, less the MyRoomz fee shown to the Merchant, only when the Merchant marks the order shipped. An order the Merchant has not shipped within the time shown on the Platform (seven days unless the Platform says otherwise) is cancelled and the full amount is returned to the buyer's Wallet. A buyer may cancel an order until the Merchant starts preparing it, and the full amount is returned to the buyer's Wallet. Once an order has shipped the sale is final, except under the Merchant's own returns policy or where required by law; a dispute about a shipped order is between the buyer and the Merchant. MyRoomz may reverse a shipped sale where it reasonably considers the order was not fulfilled, and keeps a record of every such decision.
25.4 Buying at a Merchant's own store
A Merchant may instead, or as well, direct buyers to its own store with a MyRoomz coupon code. A purchase made there is made on the Merchant's own terms and with its own payment provider; MyRoomz does not receive the payment, does not hold it, and is not a party to it. MyRoomz records that the buyer followed the link and is paid a reseller fee by the Merchant on sales the Merchant reports against that code. A Merchant must report those sales honestly and promptly; MyRoomz may pause a store whose reseller fees remain unpaid for the period shown on the Platform.
25.5 Physical Treatz
A Creator may list a Merchant's product on her Treatz page at a price she sets, which includes the Merchant's price to her. A fan who buys that Treat pays the Creator's price and the shipping shown from the fan's Wallet. The Merchant ships the product to the delivery address the Creator has given, and is paid its price and the shipping; the Creator is paid the difference between her price and the Merchant's price, less the MyRoomz fee shown on the Platform. A fan never receives the Creator's address and a Creator never receives the fan's. A Treat is a gift: the fan acquires no right to the goods, to any content, or to any response from the Creator, and a Treat cannot be converted to money by anyone. A Treat is held, paid, cancelled and refunded in the same way as a product bought on the Platform under clause 25.3, with the refund going to the fan's Wallet.
25.6 Merchant plans and placements
A Merchant's store is offered for a monthly subscription at the price shown on the Platform, which includes GST, charged from the Merchant's Wallet when the store is approved and every 30 days after that, unless a free period applies. If the Wallet does not cover a month when it falls due, the store is hidden from MyShopz until the Wallet does, and is then charged and restored automatically. A subscription may be cancelled at any time and the store remains published until the end of the period already paid for. Amounts paid for a period are not refunded part way through it, except where required by law. A Merchant may buy a placement (a featured product, a banner, or a feature on the Treatz marketplace) at the price shown; every placement is reviewed before it is shown, nothing is charged for a placement that is declined, and MyRoomz does not guarantee any number of views, clicks or sales.
25.7 Reviews and suspension
Reviews are the opinions of the Users who leave them and not statements of MyRoomz. Only a User whose order from that Merchant has shipped may review it. A Merchant may reply to a review but may not remove it. MyRoomz may hide a review that breaches these Terms and keeps a record of it. MyRoomz may suspend or remove a store, a product or a placement that breaches these Terms or that it reasonably considers harmful to Users, and no further subscription is charged while a store is suspended.
