MYROOMZ — MYAGENTZ CREATOR MANAGEMENT AGREEMENT Effective Date: 25 May 2026

Version: 2.0 Enterprise Governance Edition IMPORTANT LEGAL NOTICE THIS MYAGENTZ CREATOR MANAGEMENT AGREEMENT (“AGREEMENT”) GOVERNS ALL CREATOR MANAGEMENT RELATIONSHIPS, AGENT ACCESS, STAFF ACCESS, DELEGATED ACCOUNT OPERATIONS, COMMISSION STRUCTURES, REVENUE SHARING, AI MANAGEMENT SYSTEMS, SHARED ACCOUNT ACCESS, CONTRACT ENFORCEMENT, DISPUTE RESOLUTION, AUTOMATED REVENUE SPLITTING AND RELATED MANAGEMENT FUNCTIONALITY OPERATED THROUGH THE MYROOMZ PLATFORM.  BY ACCESSING, USING OR PARTICIPATING IN MYAGENTZ FUNCTIONALITY, YOU ACKNOWLEDGE AND AGREE THAT: YOU HAVE READ THIS AGREEMENT; YOU UNDERSTAND THIS AGREEMENT; YOU AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT; YOU UNDERSTAND THAT MYAGENTZ IS A PLATFORM-BASED CREATOR MANAGEMENT SYSTEM ONLY; YOU ACKNOWLEDGE THAT MYROOMZ DOES NOT EMPLOY AGENTS, CHATTERS, MANAGERS OR CREATOR STAFF; YOU UNDERSTAND THAT CREATORS RETAIN OWNERSHIP OF THEIR IDENTITY, LIKENESS, PROFILE AND CONTENT SUBJECT TO PLATFORM OPERATIONAL RIGHTS; YOU ACKNOWLEDGE THAT AGENT ACCESS IS PERMISSION-BASED, LOGGED AND SUBJECT TO PLATFORM GOVERNANCE; YOU UNDERSTAND THAT ALL REVENUE SPLITS, COMMISSION STRUCTURES AND MANAGEMENT ACCESS RIGHTS ARE SUBJECT TO PLATFORM CONTROLS; YOU ACKNOWLEDGE THAT MYROOMZ MAY MONITOR, LOG, PRESERVE, ANALYSE AND REVIEW ALL MYAGENTZ ACTIVITY FOR MODERATION, FRAUD PREVENTION, LEGAL COMPLIANCE OR OPERATIONAL PURPOSES; AND YOU UNDERSTAND THAT MYROOMZ RETAINS FINAL OPERATIONAL DISCRETION REGARDING PLATFORM SAFETY, PAYMENT-PROVIDER COMPLIANCE, FRAUD PREVENTION, CONTRACT ENFORCEMENT AND OPERATIONAL INTEGRITY. IF YOU DO NOT AGREE TO THIS AGREEMENT, YOU MUST IMMEDIATELY CEASE USING MYAGENTZ FUNCTIONALITY. 1. PLATFORM OPERATOR 1.1 Platform Operator The Platform is operated by: New Myroomzco Pty Ltd ABN: 21 698 117 476 PO BOX 136 APPLECROSS WA 6953 (“MyRoomz”, “we”, “our” or “us”) 1.2 Intellectual Property Ownership Certain creator-management systems, AI systems, operational systems, commission systems, Wallet systems, moderation systems, staff-management systems and associated intellectual property connected with MyAgentz functionality may be owned by, licensed from or associated with: COLLAB IP HOLDINGS PTY LTD ACN: 698 248 967 PO BOX 136 APPLECROSS WA 6953 2. NATURE OF MYAGENTZ 2.1 Integrated Creator Management System MyAgentz is an integrated creator-management operating system built exclusively for the MyRoomz Platform.  The system is designed to allow Creators and Agents to legally collaborate through: platform-controlled contracts; automated commission structures; delegated account access; staff-management systems; AI management systems; operational analytics; shared communication systems; monetisation systems; and dispute-resolution systems. 2.2 Platform Governance Model MyAgentz exists to create structured protections for: Creators; Agents; staff; Fans; Platform operations; and payment-provider compliance. 2.3 Independent Relationships Agents, agencies, chatters, assistants, managers and staff operate independently from MyRoomz. Nothing in this Agreement creates: employment relationships; labour relationships; partnerships; fiduciary obligations; representative authority; or agency relationships with MyRoomz. 3. CORE PLATFORM PRINCIPLES 3.1 Creator Protection Creators retain: ownership of their identity; ownership of their likeness; ownership of their profile; ownership of uploaded Content unless otherwise licensed; visibility into commission structures; visibility into operational activity; and visibility into delegated account activity. 3.2 Agent Protection Agents may receive structured protection for value contributed through: staffing; advertising; operational scaling; subscriber growth; fan engagement systems; AI training systems; operational infrastructure; scripts; monetisation systems; and campaign management. 3.3 Platform Transparency MyAgentz is designed to reduce: password sharing; hidden commissions; off-platform disputes; revenue diversion; chatter abuse; account hijacking; unauthorised account access; and operational misconduct.  4. AGENT DISCOVERY AND INVITATIONS 4.1 Discovery Systems Creators and Agents may: search for one another; apply to work together; receive invitations; negotiate partnerships; or engage through Platform systems.  4.2 Agency Profiles Agency profiles may include: verification indicators; reviews; performance analytics; operational metrics; staff metrics; creator management specialties; earnings indicators; and platform reputation indicators. 4.3 No Platform Endorsement MyRoomz does not guarantee: Agent legitimacy; agency performance; operational quality; staffing quality; financial outcomes; monetisation outcomes; or creator growth. 5. DIGITAL CONTRACT SYSTEM 5.1 Platform-Based Contracts All MyAgentz relationships are initiated through platform-generated digital agreements.  5.2 Contract Variables Contracts may include: commission structures; minimum terms; trial periods; revenue splits; staffing permissions; AI permissions; subscription pricing permissions; PPV permissions; fan engagement obligations; ad spend obligations; content obligations; confidentiality obligations; non-circumvention obligations; operational permissions; performance milestones; chargeback allocation responsibilities; auto-renewal terms; and exit conditions.  5.3 Digital Acceptance No operational access is granted until: both parties digitally approve; contract execution is completed; operational verification is completed; and platform authorisation systems approve activation.  6. COMMISSION SLIDER SYSTEM 6.1 Revenue Split System The Platform may permit Agents to propose: commission percentages; revenue splits; tiered revenue structures; or monetisation allocations.  6.2 Mutual Approval Requirement Revenue structures must be: reviewed by the Creator; approved by the Creator; approved by the Agent; and digitally confirmed by both parties.  6.3 Automated Allocation Once activated, approved commission structures may automatically allocate revenue between: Creators; Agents; operational staff; or other approved parties. 7. DELEGATED ACCOUNT ACCESS 7.1 Permission-Based Access Creators may authorise delegated operational access through MyAgentz permission systems. Delegated access does not transfer ownership of creator accounts.  7.2 Creator Owner Rights Creators may: terminate agreements; review analytics; upload Content; approve requests; review finances; review activity logs; request disputes; restrict operational access; and revoke permissions subject to contractual restrictions.  7.3 Agency Admin Rights Agency administrators may receive operational permissions including: messaging access; PPV management; content scheduling; campaign management; fan analytics access; staff assignment; monetisation tools; and operational systems access.  7.4 Chatter Restrictions Chatters may receive limited communication permissions only. Chatters may be restricted from: withdrawing funds; altering contracts; modifying revenue structures; removing Creator ownership; or bypassing moderation systems.  8. STAFF MANAGEMENT SYSTEMS 8.1 Staff Roles Agencies may utilise staff systems including: Chatters; Sales Closers; Content Managers; Schedulers; Marketing Staff; AI Trainers; Campaign Managers; and Finance/Admin personnel.  8.2 Permission Controls Staff permissions may be restricted according to operational role classifications. 8.3 Operational Monitoring MyRoomz may monitor: staff activity; operational analytics; messaging behaviour; AI interaction systems; behavioural indicators; performance metrics; and moderation triggers. 9. ACTIVITY LOGGING AND MONITORING 9.1 Logging Rights MyRoomz may preserve and analyse: messages; uploads; deleted Content; pricing changes; PPV changes; subscription changes; fan bans; payout requests; AI interactions; chatter activity; login locations; device history; and operational activity logs.  9.2 Purpose of Logging Operational logging exists for: fraud prevention; moderation; contract enforcement; dispute resolution; chargeback defence; operational integrity; compliance obligations; creator protection; and agent protection. 10. CONTENT REQUEST SYSTEM 10.1 Operational Requests Agents may submit creator requests including: custom content requests; messaging requests; script requests; campaign requests; scheduled shoots; promotional tasks; and engagement tasks.  10.2 Creator Approval Rights Creators may: approve requests; reject requests; negotiate requests; or request modifications.  10.3 No Coercion Creators must not be coerced into: unlawful conduct; exploitative activity; unsafe conduct; prohibited content creation; or activity breaching Platform policies or applicable laws. 11. AUTOMATED REVENUE SPLITTING 11.1 Automated Allocation The Platform may automatically allocate revenue generated through: subscriptions; tips; PPV; livestreams; auctions; custom content; campaigns; and monetisation systems.  11.2 Operational Finality Revenue allocations processed through approved commission structures may be treated as operationally final subject to: fraud investigations; chargebacks; moderation reviews; legal compliance; or payment-provider requirements. 12. AI SYSTEMS AND SCRIPT MANAGEMENT 12.1 AI-Assisted Operations Agents and Creators may utilise: Indie AI; script systems; behavioural systems; AI-assisted engagement tools; AI optimisation systems; and operational automation systems.  12.2 AI Monitoring Rights MyRoomz may monitor: AI interactions; AI training systems; operational AI usage; behavioural analytics; and moderation triggers. 13. FAN OWNERSHIP PROTECTION MODEL 13.1 Subscriber Relationship Model Fans remain associated with creator accounts following termination of management agreements.  13.2 Subscription Renewal Restrictions Where agreements terminate: auto-renewals may be disabled; monetisation continuity may pause; operational systems may be restricted; and retention systems may require manual reactivation. 13.3 Operational Purpose These systems exist to reduce: agency exploitation; abrupt operational termination; unfair revenue diversion; and commercial misuse of agency-created value. 14. TERMINATION, DISPUTES AND ARBITRATION 14.1 Termination Requests Either party may: request termination; initiate disputes; negotiate exits; or request operational review.  14.2 Temporary Restrictions During disputes or termination reviews, MyRoomz may: freeze uploads; freeze messaging; freeze monetisation; lock payouts; suspend subscriptions; preserve evidence; or restrict operational functionality.  14.3 Platform Arbitration MyRoomz may act as: operational mediator; evidence holder; moderation authority; and dispute-review body.  14.4 Evidence Preservation MyRoomz may preserve: contracts; earnings records; chat history; uploads; fan analytics; payout records; operational logs; AI interaction logs; and moderation records. 15. CREATOR SAFETY PROTECTIONS 15.1 Prohibited Conduct Agents, staff and delegated users must not engage in: coercion; exploitative conduct; hidden deductions; unlawful demands; deceptive commission practices; forced content creation; threats; harassment; or unlawful manipulation.  15.2 Creator Ownership Rights Creators retain ownership of: identity; likeness; branding; profile identity; and Content unless otherwise lawfully licensed.  16. MODERATION, COMPLIANCE AND ENFORCEMENT 16.1 Enforcement Rights MyRoomz may: suspend Agents; restrict delegated access; freeze Wallet balances; preserve evidence; terminate monetisation; suspend Accounts; investigate operational activity; or cooperate with authorities where reasonably necessary for: moderation; fraud prevention; AML/CTF compliance; payment-provider compliance; operational integrity; User safety; or legal compliance. 17. DISCLAIMER OF PLATFORM RESPONSIBILITY MyRoomz does not guarantee: creator earnings; agency success; staffing quality; operational performance; fan retention; monetisation outcomes; advertising performance; AI accuracy; or commercial success. Users acknowledge that creator-management operations involve operational, interpersonal and commercial risks. 18. LIMITATION OF LIABILITY To the maximum extent permitted by law: MyRoomz excludes all implied warranties relating to MyAgentz systems; MyRoomz is not liable for management disputes; MyRoomz is not liable for staffing disputes; MyRoomz is not liable for creator-agent disputes; MyRoomz is not liable for operational disagreements; MyRoomz is not liable for monetisation losses; and MyRoomz is not liable for indirect or consequential loss arising from creator-management relationships. Nothing excludes rights which cannot lawfully be excluded under Australian Consumer Law. 19. GOVERNING LAW This MyAgentz Agreement is governed by the laws of: Western Australia; and the Commonwealth of Australia. Users submit to the jurisdiction of the courts of Western Australia. 20.
