Version: 2.0 Enterprise Governance Edition IMPORTANT LEGAL NOTICE THIS AUCTION POLICY GOVERNS ALL AUCTIONS, BIDDING ACTIVITY, DIGITAL AUCTIONS, LIVESTREAM AUCTIONS, CREATOR-OPERATED SALES, PHYSICAL GOODS TRANSACTIONS, DIGITAL ENTITLEMENTS AND RELATED COMMERCIAL ACTIVITY CONDUCTED THROUGH THE MYROOMZ PLATFORM. BY ACCESSING, PARTICIPATING IN, BIDDING ON, HOSTING OR OTHERWISE UTILISING AUCTION FUNCTIONALITY THROUGH THE PLATFORM, YOU ACKNOWLEDGE AND AGREE THAT: YOU HAVE READ THIS AUCTION POLICY; YOU UNDERSTAND THIS AUCTION POLICY; YOU AGREE TO BE LEGALLY BOUND BY THIS AUCTION POLICY; YOU UNDERSTAND THAT AUCTIONS MAY INVOLVE DIGITAL GOODS, PHYSICAL GOODS OR DIGITAL INTERACTION ENTITLEMENTS; YOU ACKNOWLEDGE THAT CREATORS OPERATE INDEPENDENTLY; YOU UNDERSTAND THAT MYROOMZ DOES NOT GENERALLY OWN, WAREHOUSE, AUTHENTICATE OR SHIP GOODS SOLD THROUGH CREATOR AUCTIONS; YOU ACKNOWLEDGE THAT AUCTIONS MAY BE MODERATED, RESTRICTED, SUSPENDED OR CANCELLED WHERE REASONABLY NECESSARY; AND YOU ACKNOWLEDGE THAT MYROOMZ MAY PRESERVE AUCTION RECORDS, TRANSACTION RECORDS, CHAT RECORDS, LIVESTREAM RECORDS, BIDDING HISTORY AND ASSOCIATED OPERATIONAL DATA FOR MODERATION, COMPLIANCE, FRAUD PREVENTION OR LEGAL PURPOSES. IF YOU DO NOT AGREE TO THIS AUCTION POLICY, YOU MUST IMMEDIATELY CEASE USING AUCTION FUNCTIONALITY ON THE PLATFORM. 1. PLATFORM OPERATOR 1.1 Platform Operator The Platform is operated by: New Myroomzco Pty Ltd ABN: 21 698 117 476 PO BOX 136 APPLECROSS WA 6953 (“MyRoomz”, “we”, “our” or “us”) 1.2 Intellectual Property Ownership Certain auction systems, livestream systems, payment systems, moderation systems, operational infrastructure and associated intellectual property connected with the Platform may be owned by, licensed from or associated with: COLLAB IP HOLDINGS PTY LTD ACN: 698 248 967 PO BOX 136 APPLECROSS WA 6953 2. NATURE OF AUCTION FUNCTIONALITY 2.1 Creator-Operated Auction Platform The Platform provides functionality allowing Creators to conduct auctions involving: digital Content; digital interactions; livestream auction events; collectibles; merchandise; creator experiences; creator memorabilia; approved physical goods; and other approved auction categories. 2.2 Independent Creator Responsibility Creators operate independently and remain solely responsible for: auction listings; item descriptions; item legality; authenticity claims; taxation obligations; dispatch obligations; shipping obligations; customs obligations; consumer-law obligations; fulfilment obligations; and compliance with applicable laws. 2.3 Platform Limitation MyRoomz does not generally: own auction items; warehouse goods; inspect goods; authenticate goods; verify item condition; conduct independent appraisals; operate shipping services; or guarantee creator fulfilment. MyRoomz acts as a platform facilitator only. 3. AUCTION ELIGIBILITY 3.1 Creator Eligibility Creators may only conduct auctions where: their Account remains in good standing; required verification has been completed; monetisation access remains active; Wallet functionality remains operational; and auction functionality has not been restricted. 3.2 Fan Eligibility Fans may participate in auctions where: they are at least 18 years old; their Account remains active; payment methods remain valid; Wallet functionality remains operational; and they are not restricted from auction participation. 4. BIDDING RULES 4.1 Binding Nature of Bids By placing a bid, Users acknowledge and agree that bids may constitute binding purchase offers subject to: auction completion; moderation review; payment verification; fraud-prevention systems; and operational functionality. 4.2 Bid Manipulation Prohibited Users must not: place fraudulent bids; manipulate bidding systems; artificially inflate pricing; engage in shill bidding; collude with other Users; manipulate auction visibility; exploit operational vulnerabilities; or interfere with auction integrity. 4.3 Auction Extensions and Operational Controls MyRoomz or Creators may: extend auction durations; pause auctions; cancel auctions; remove listings; restart auctions; modify auction timing; or suspend auction functionality where reasonably necessary for: moderation; operational integrity; fraud prevention; technical failures; livestream interruptions; payment issues; or legal compliance. 5. LIVESTREAM AUCTIONS 5.1 Livestream Auction Functionality Auctions may occur through livestream systems involving: live bidding; live creator interaction; real-time bidding updates; moderated auction activity; AI-assisted moderation systems; and monetised livestream engagement. 5.2 Operational Limitations Livestream auctions may experience: latency; outages; livestream interruptions; moderation interruptions; bidding delays; technical failures; payment interruptions; or operational disruptions. MyRoomz does not guarantee uninterrupted livestream auction functionality. 5.3 Livestream Records MyRoomz may preserve: livestream metadata; bidding history; moderation logs; chat records; payment records; operational analytics; and behavioural analytics for moderation, investigations, dispute resolution, fraud prevention or legal purposes. 6. PAYMENT OBLIGATIONS 6.1 Winning Bidder Obligations Winning bidders acknowledge and agree that: payment obligations become due following successful auction completion; delayed payment may result in restrictions; non-payment may result in account enforcement action; and repeated non-payment behaviour may result in auction restrictions or termination. 6.2 Payment Verification MyRoomz may: verify payment methods; delay auction completion; restrict payout processing; freeze Wallet balances; investigate transactions; or suspend auction functionality where reasonably necessary for: fraud prevention; chargeback prevention; moderation; compliance; operational integrity; or payment-provider requirements. 6.3 Cryptocurrency Payments Approved cryptocurrency payment methods may be permitted subject to: operational availability; payment-provider support; moderation review; compliance requirements; and Platform functionality. Cryptocurrency transactions may be irreversible once confirmed. 7. PHYSICAL GOODS 7.1 Creator Responsibility Creators remain solely responsible for: dispatch; shipping; customs declarations; taxes; item authenticity; item descriptions; delivery; insurance arrangements; and consumer-law obligations. 7.2 No Platform Warehousing MyRoomz does not: warehouse items; physically inspect goods; guarantee delivery; guarantee item condition; authenticate collectibles; verify grading claims; or operate logistics systems. 7.3 Shipping Risks Fans acknowledge risks associated with: shipping delays; postal failures; customs delays; transit damage; creator dispatch delays; lost shipments; and international delivery risks. 8. DIGITAL AUCTIONS AND DIGITAL ENTITLEMENTS 8.1 Digital Content Auctions Creators may auction: digital Content; livestream access; creator interactions; subscriber access; digital collectibles; digital creator experiences; or other approved Digital Entitlements. 8.2 Limited Rights Only Winning bidders receive limited, revocable and non-transferable Digital Entitlements only. Fans do not acquire: ownership rights; intellectual property rights; permanent archival rights; commercial rights; or transferable rights. 9. PROHIBITED AUCTION ITEMS Users must not utilise auction systems for: unlawful goods; prohibited weapons; exploitative material; counterfeit goods; stolen property; child exploitation material; unlawful drugs; illegal services; unlawful financial products; prohibited digital assets; or any item prohibited by law or Platform policy. MyRoomz may remove listings without prior notice where reasonably necessary. 10. FRAUD, CHARGEBACKS AND INVESTIGATIONS 10.1 Fraud Prevention Rights MyRoomz may: investigate auctions; preserve evidence; freeze Wallet balances; suspend payouts; reverse transactions; restrict bidding activity; suspend Accounts; or cooperate with authorities where reasonably necessary for fraud prevention, moderation or compliance purposes. 10.2 Evidence Preservation MyRoomz may preserve: bidding records; livestream metadata; chat history; AI interaction logs; IP addresses; device information; Wallet activity; transaction history; behavioural analytics; and moderation records for investigations, disputes, fraud prevention or legal compliance. 10.3 Chargebacks Winning bidders must not engage in: fraudulent chargebacks; payment abuse; false payment disputes; or auction manipulation. MyRoomz may provide operational records and transactional evidence to: payment providers; financial institutions; fraud-prevention providers; regulators; legal representatives; or law enforcement agencies where reasonably necessary to defend or investigate chargebacks or disputes. 11. MODERATION AND ENFORCEMENT 11.1 Moderation Rights MyRoomz may, at its sole discretion and without prior notice: remove auction listings; suspend auction functionality; freeze Wallet balances; restrict bidding; suspend creators; terminate Accounts; preserve evidence; investigate activity; or cooperate with authorities where reasonably necessary for: moderation; fraud prevention; operational integrity; payment-provider compliance; legal compliance; platform safety; or User protection. 11.2 Reporting Systems Users may report: fraudulent auctions; misleading listings; scam activity; counterfeit goods; payment abuse; manipulation; harassment; or policy breaches. 12. TAXATION AND GST 12.1 Creator Responsibility Creators remain solely responsible for: income tax obligations; GST obligations; customs obligations; reporting obligations; invoicing obligations; and compliance with applicable taxation laws. 12.2 No Tax Advice MyRoomz does not provide: taxation advice; accounting advice; financial advice; or legal taxation advice. Users should seek independent professional advice. 13. DISCLAIMER OF PLATFORM RESPONSIBILITY MyRoomz does not guarantee: creator legitimacy; item authenticity; item quality; creator fulfilment; shipping outcomes; auction accuracy; uninterrupted auction systems; bidding integrity beyond reasonable operational controls; or successful transaction outcomes. Users acknowledge that participation in auctions involves operational, commercial and transactional risks. 14. LIMITATION OF LIABILITY To the maximum extent permitted by law: MyRoomz excludes all implied warranties relating to auction systems; MyRoomz is not liable for creator fulfilment failures; MyRoomz is not liable for item authenticity disputes; MyRoomz is not liable for shipping losses; MyRoomz is not liable for livestream interruptions; MyRoomz is not liable for User misconduct; MyRoomz is not liable for bidding errors; and MyRoomz is not liable for indirect or consequential loss arising from auction participation. Nothing excludes rights which cannot lawfully be excluded under Australian Consumer Law. 15. FORCE MAJEURE MyRoomz is not liable for auction-related interruptions or failures arising from: cyber attacks; infrastructure outages; payment-provider failures; livestream outages; cloud-provider failures; internet failures; natural disasters; regulatory changes; government actions; or events beyond reasonable control. 16. TERMINATION AND SURVIVAL MyRoomz may suspend or terminate auction functionality at any time where reasonably necessary for moderation, compliance, fraud prevention, safety or operational purposes. The following survive termination: payment obligations; moderation rights; evidence preservation rights; liability limitations; dispute rights; indemnities; and compliance obligations. 17. GOVERNING LAW This Auction Policy is governed by the laws of: Western Australia; and the Commonwealth of Australia. Users submit to the jurisdiction of the courts of Western Australia. 18.
