MYROOMZ — ADVERTISER MARKETPLACE POLICY Effective Date: 25 May 2026

Version: 2.0 Enterprise Governance Edition IMPORTANT LEGAL NOTICE THIS ADVERTISER MARKETPLACE POLICY (“POLICY”) GOVERNS ALL ADVERTISING ACTIVITY, CREATOR SPONSORSHIPS, CAMPAIGN MANAGEMENT, ADVERTISER ACCOUNTS, CREATOR PROMOTIONS, BANNER PLACEMENTS, CLICK-BASED CAMPAIGNS, PERFORMANCE-BASED CAMPAIGNS, ANALYTICS SYSTEMS, MARKETPLACE NEGOTIATIONS AND RELATED COMMERCIAL ACTIVITY OPERATED THROUGH THE MYROOMZ PLATFORM.  BY ACCESSING, USING OR PARTICIPATING IN THE ADVERTISER MARKETPLACE, YOU ACKNOWLEDGE AND AGREE THAT: YOU HAVE READ THIS POLICY; YOU UNDERSTAND THIS POLICY; YOU AGREE TO BE LEGALLY BOUND BY THIS POLICY; YOU UNDERSTAND THAT MYROOMZ OPERATES AS A TECHNOLOGY PLATFORM ONLY; YOU ACKNOWLEDGE THAT CREATORS AND ADVERTISERS OPERATE INDEPENDENTLY; YOU UNDERSTAND THAT MYROOMZ DOES NOT ACT AS AN ADVERTISING AGENCY, MARKETING REPRESENTATIVE OR SALES AGENT; YOU ACKNOWLEDGE THAT ADVERTISING PERFORMANCE, SALES PERFORMANCE, CONVERSION PERFORMANCE AND CAMPAIGN SUCCESS ARE NOT GUARANTEED; YOU UNDERSTAND THAT MYROOMZ MAY MODERATE, PAUSE, RESTRICT OR TERMINATE CAMPAIGNS WITHOUT PRIOR NOTICE WHERE REASONABLY NECESSARY; YOU ACKNOWLEDGE THAT MYROOMZ MAY PRESERVE, ANALYSE, MONITOR AND DISCLOSE OPERATIONAL DATA RELATING TO ADVERTISING ACTIVITY FOR MODERATION, FRAUD PREVENTION, PAYMENT-PROVIDER COMPLIANCE OR LEGAL PURPOSES; AND YOU UNDERSTAND THAT PLATFORM SAFETY, PAYMENT-PROVIDER COMPLIANCE, OPERATIONAL INTEGRITY AND LEGAL COMPLIANCE TAKE PRIORITY OVER CAMPAIGN DELIVERY OR COMMERCIAL OUTCOMES. IF YOU DO NOT AGREE TO THIS POLICY, YOU MUST IMMEDIATELY CEASE USING ADVERTISER MARKETPLACE FUNCTIONALITY. 1. PLATFORM OPERATOR 1.1 Platform Operator The Platform is operated by: New Myroomzco Pty Ltd ABN: 21 698 117 476 PO BOX 136 APPLECROSS WA 6953 (“MyRoomz”, “we”, “our” or “us”) 1.2 Intellectual Property Ownership Certain advertising systems, analytics systems, recommendation systems, campaign systems, operational systems, AI systems and associated intellectual property connected with the Advertiser Marketplace may be owned by, licensed from or associated with: COLLAB IP HOLDINGS PTY LTD ACN: 698 248 967 PO BOX 136 APPLECROSS WA 6953 2. PURPOSE OF THE ADVERTISER MARKETPLACE 2.1 Marketplace Functionality The Advertiser Marketplace allows approved advertisers, brands, businesses, agencies and promoters to connect directly with creators for advertising, sponsorship and promotional opportunities across the Platform.  2.2 Revenue Opportunity System The Marketplace is designed to: provide creators with additional monetisation opportunities; provide advertisers with direct creator access; facilitate niche audience targeting; support sponsored creator campaigns; support creator promotions; support banner advertising; support affiliate promotions; and facilitate creator-driven advertising relationships. 2.3 Independent Commercial Relationships Creators and advertisers operate independently from MyRoomz. Nothing in this Policy creates: employment relationships; agency relationships with MyRoomz; partnerships; joint ventures; fiduciary obligations; or representative authority on behalf of MyRoomz. 3. ADVERTISER ACCOUNTS 3.1 Advertiser Eligibility Approved advertiser accounts may include: businesses; brands; agencies; marketing companies; event promoters; affiliate marketers; product owners; and approved third-party representatives.  3.2 Verification Requirements Advertisers may be required to provide: business identification; company details; billing information; contact information; website details; social media links; proof of ownership; proof of promotional rights; compliance documentation; and any additional information reasonably requested by MyRoomz.  3.3 Approval Rights MyRoomz reserves the right, at its sole discretion, to: approve advertisers; reject advertisers; suspend advertisers; remove advertisers; restrict advertiser visibility; limit campaign activity; or terminate advertiser access without prior notice where reasonably necessary. 4. CREATOR ADVERTISING SLOTS 4.1 Creator Control Creators retain sole discretion regarding: whether to accept advertising; number of advertising slots; placement positions; campaign duration; advertiser categories; advertising pricing; promotional visibility; and advertiser approval preferences.  4.2 Monetisation Structures Creators may utilise: Pay Per Click (PPC); milestone click-through payments; weekly fixed campaigns; monthly fixed campaigns; or hybrid monetisation structures.  4.3 Pricing Control Creators remain solely responsible for: campaign pricing; promotional pricing; campaign structure; creator advertising strategy; and campaign negotiations. 5. ADVERTISER CAMPAIGNS 5.1 Campaign Listings Advertisers may create campaigns promoting: products; services; events; brands; websites; affiliate offers; subscription services; merchandise; digital products; and approved external platforms.  5.2 Campaign Components Campaigns may include: descriptions; banners; video creatives; tracking URLs; budgets; audience targeting; geographic targeting; creator eligibility criteria; payment structures; and campaign durations.  5.3 Campaign Applications Creators may: browse campaigns; apply to campaigns; negotiate campaign terms; reject campaigns; or terminate campaign participation subject to operational restrictions. 6. NEGOTIATION & ENGAGEMENT SYSTEM 6.1 Mutual Agreement Structure The advertising system operates through a mutual agreement model similar to MyAgentz engagement systems.  6.2 Engagement Requirements Before activation: compensation terms must be negotiated; both parties must digitally approve; both parties must confirm engagement; campaign terms must be accepted; and operational systems must activate campaign permissions.  6.3 Operational Records MyRoomz may preserve: negotiation history; engagement approvals; click-to-engage confirmations; communication records; payment agreements; analytics history; operational logs; and behavioural analytics.  7. ADVERTISING BUDGETS & FUNDING 7.1 Funding Requirements Advertisers must maintain sufficient balances to fund active campaigns.  7.2 Campaign Funding Structures Campaigns may utilise: daily spend limits; total campaign budgets; automated payout systems; performance-based limits; cost-per-click systems; and spending caps.  7.3 Automated Campaign Restrictions Campaigns may automatically pause or become dormant where: budget limits are reached; spending caps are exhausted; funding balances are insufficient; or operational restrictions apply.  7.4 Platform Rights MyRoomz may: pause campaigns; restrict campaign delivery; suspend campaigns; limit visibility; prevent overspending; restrict targeting; or freeze campaign functionality where reasonably necessary. 8. ANALYTICS & PERFORMANCE SYSTEMS 8.1 Advertiser Analytics Advertisers may access analytics including: click-through rates; impressions; conversion tracking; spend-per-acquisition metrics; campaign summaries; creator leaderboards; engagement metrics; geographic reporting; and ROI dashboards.  8.2 Creator Analytics Creators may access: earnings summaries; click analytics; campaign performance reports; historical earnings data; and active campaign reporting.  8.3 No Performance Guarantee Analytics are provided for informational purposes only. MyRoomz does not guarantee: campaign profitability; conversion rates; sales performance; engagement outcomes; ROI performance; audience retention; or advertising success.  9. CREATOR LEADERBOARDS & RANKINGS 9.1 Ranking Systems Advertisers may access creator-ranking systems based on: revenue generated; click-through performance; engagement performance; audience retention; conversion metrics; campaign history; and advertiser feedback systems.  9.2 Algorithm Changes MyRoomz may modify: ranking systems; visibility systems; recommendation systems; analytics weighting; engagement metrics; or discoverability algorithms without prior notice. 10. CREATOR EARNINGS & PAYOUTS 10.1 Revenue Allocation Creators may receive advertising earnings subject to: Platform fees; payment-processing fees; fraud reviews; refunds; chargebacks; moderation restrictions; compliance checks; and payout requirements.  10.2 Platform Commission MyRoomz may charge a 10% platform commission on advertising revenue unless otherwise stated.  10.3 Payout Restrictions Payouts may remain subject to: withdrawal rules; payment-provider restrictions; fraud-prevention systems; moderation reviews; compliance reviews; and minimum withdrawal thresholds.  11. NOTIFICATION SYSTEMS 11.1 Advertising Notifications The Platform may operate a dedicated advertising-notification system separate from core Platform notifications.  11.2 Notification Types Notifications may include: campaign approvals; budget warnings; earnings updates; funding reminders; spend alerts; milestone notifications; campaign pauses; payment confirmations; negotiation requests; and engagement confirmations.  12. PROHIBITED ADVERTISING CONTENT 12.1 Prohibited Promotions Advertisers must not promote: illegal products or services; fraudulent schemes; misleading advertisements; copyright-infringing material; malware; malicious software; unauthorised gambling services; pyramid schemes; hate speech; extremist content; exploitative material; or products prohibited by law.  12.2 Enforcement Rights MyRoomz may remove or restrict campaigns without prior notice where reasonably necessary for moderation, compliance or operational integrity. 13. FRAUD PREVENTION, TRACKING & INVESTIGATIONS 13.1 Monitoring Rights MyRoomz may monitor: click activity; behavioural analytics; campaign performance; suspicious traffic; conversion manipulation; bot activity; operational anomalies; Wallet activity; IP information; and advertiser behaviour. 13.2 Evidence Preservation MyRoomz may preserve: campaign records; payment records; communication logs; analytics records; behavioural analytics; click history; transaction history; Wallet activity; IP information; and moderation records for moderation, fraud prevention, chargeback defence or legal compliance. 14. INDEPENDENT RELATIONSHIPS 14.1 No Agency Relationship MyRoomz is not: an advertising agency; a talent agency; a sales representative; a marketing consultant; a campaign manager; or a party to creator-advertiser commercial negotiations.  14.2 Independent Responsibility Creators and advertisers remain solely responsible for: campaign negotiations; advertising claims; compliance obligations; promotional disclosures; taxation obligations; consumer-law obligations; regulatory compliance; and commercial agreements.  15. TAXATION & GST 15.1 Independent Responsibility Advertisers and creators remain solely responsible for: taxation obligations; GST obligations; invoicing obligations; reporting obligations; and compliance with applicable taxation laws. 15.2 No Tax Advice MyRoomz does not provide: taxation advice; accounting advice; financial advice; or legal taxation advice. Users should seek independent professional advice. 16. MODERATION & ENFORCEMENT 16.1 Enforcement Rights MyRoomz may: suspend advertisers; restrict campaigns; freeze Wallet balances; preserve evidence; restrict discoverability; suspend monetisation; terminate campaigns; remove advertisements; or cooperate with authorities where reasonably necessary for: moderation; fraud prevention; payment-provider compliance; AML/CTF compliance; operational integrity; legal compliance; or platform safety. 17. DISCLAIMER OF PLATFORM RESPONSIBILITY MyRoomz does not guarantee: advertising performance; sales performance; campaign profitability; creator performance; engagement levels; audience retention; click-through performance; conversion performance; or commercial outcomes. Users acknowledge that advertising involves operational, commercial and market risks. 18. LIMITATION OF LIABILITY To the maximum extent permitted by law: MyRoomz excludes all implied warranties relating to advertising systems; MyRoomz is not liable for campaign performance; MyRoomz is not liable for conversion failures; MyRoomz is not liable for advertiser profitability; MyRoomz is not liable for creator performance; MyRoomz is not liable for campaign interruptions; and MyRoomz is not liable for indirect or consequential loss arising from advertising activity. Nothing excludes rights which cannot lawfully be excluded under Australian Consumer Law. 19. GOVERNING LAW This Advertiser Marketplace Policy is governed by the laws of: Western Australia; and the Commonwealth of Australia. Users submit to the jurisdiction of the courts of Western Australia. 20.
